1. Acceptance
By accessing or using this website or the Service, you agree to these Terms and Conditions. If you do not agree, do not use the website or the Service.
These Terms and Conditions are between you and Sikker, Inc., a Delaware company. Where your organisation has entered into a separate written agreement with Sikker governing API access or design partner participation, that agreement governs to the extent of any conflict.
2. Nature of the Service
sikker.me is a B2B payment counterparty verification service. It ingests vendor and counterparty data submitted by Clients, traverses authoritative public registries and graph sources, and returns a structured verdict — Confirmed, Mismatch, or Unverifiable — for each entity submitted.
Verdicts are informational signals to assist Clients in their payment control processes. They are not legal, compliance, or regulatory advice and should not be treated as a definitive determination of fraud, identity, or solvency.
3. No Payment Execution; Client Responsibility
Sikker does not execute, approve, block, or route payments. All payment decisions remain exclusively with the Client. A Confirmed verdict does not guarantee that a payment is free of fraud risk; it indicates that submitted entity attributes matched available registry data at the time of the check. Clients are solely responsible for their own payment controls, authorisation procedures, and compliance obligations.
4. Verdict Limitations and Coverage Gaps
Verification verdicts depend on the availability, accuracy, and timeliness of third-party public registry sources. Coverage varies by jurisdiction and entity type. An Unverifiable verdict indicates that sikker.me could not confirm or deny the submitted data against available sources — not that the entity is fraudulent. Sikker makes no warranty that its graph coverage is complete, current, or free of error for any specific jurisdiction or entity.
5. Design Partner / Early Access
The Service is currently offered under a design partner programme. It may be modified, interrupted, or discontinued at any time. Features may be incomplete and may change without notice. We make no commitments regarding availability, uptime, or future functionality beyond what is agreed in writing with a specific Client.
6. User Responsibilities
You agree to:
- Use the Service in compliance with applicable laws, payment regulations, and sanctions requirements.
- Maintain the confidentiality of API keys, access tokens, and credentials.
- Apply appropriate human review to verification verdicts before making payment decisions.
- Not represent sikker.me verdicts as a guarantee of counterparty legitimacy or a substitute for your own compliance programme.
- Promptly notify us of any suspected unauthorised access to your API credentials.
7. Acceptable Use
You agree not to misuse the website or Service, including by attempting to:
- Gain unauthorised access to systems, data, or accounts.
- Interfere with service operation, integrity, or availability.
- Scrape, reverse-engineer, decompile, or copy materials beyond permitted use.
- Submit false or synthetic entity data with the intent to manipulate or test for vulnerabilities.
- Use the Service in violation of law, sanctions, or third-party rights.
8. Intellectual Property
The website and Service — including graph logic, verification models, branding, software, and related materials — are owned by Sikker or its licensors and are protected by applicable intellectual property laws. Except for the limited right to use the Service as permitted by these Terms, no rights are granted.
9. Third-Party Data Sources
The Service relies on publicly available registries, business databases, and other third-party data sources. Sikker is not responsible for inaccuracies, outages, or delays in third-party source data. Verification verdicts reflect the state of available data at the time of the request.
10. Disclaimers
The website and Service are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy of verification verdicts, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, Sikker will not be liable for indirect, incidental, special, consequential, or punitive damages — including losses arising from a payment made in reliance on a verification verdict, fraud not detected by the Service, or service interruption. Sikker's total aggregate liability under these Terms will not exceed the amounts paid by you to Sikker in the three months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Sikker and its affiliates from claims, liabilities, losses, and expenses arising from your misuse of the website or Service, your payment decisions, or your violation of these Terms.
13. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated by revising the "Last updated" date. Continued use after updates become effective constitutes acceptance of the revised Terms.
14. Governing Law; Venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Delaware, unless applicable law requires otherwise.
